Ross McNaughton, Partner at Penningtons Manches

Profile

Ross is a partner in the corporate team, based in the Cambridge office. His practice focuses on transactions in the tech, life sciences and financial services regulatory sectors. He has extensive experience of a variety of venture financing and public capital raisings, mergers and acquisitions and general corporate advice, with a particular specialism in transactions with a US / UK component.

Previously based in our San Francisco office, Ross remains heavily involved in leading our offering there. As a result, he has a particular expertise in supporting US investors and companies in their investments into the UK and elsewhere, as well as counselling UK companies looking to take investment from, or exit to, the US.

As a highly regarded corporate finance practitioner, Ross has been recognised by The Legal 500 which has praised ‘his very good knowledge of how to head off potential issues’. He has undertaken two secondments at investment banks in London, including to the ECM execution desk at a prominent investment bank. His ECM experience includes companies that reflect the firm’s core strengths in spin-outs, tech and life sciences, as well as US companies looking to raise capital through AIM.

Ross joined Penningtons Manches Cooper in 2015 from the City office of a leading US firm. He previously worked in the London and Singapore offices of a top 10 UK law firm.

Ross is an English qualified solicitor and a registered foreign legal consultant in California.

  • Advising a US-based investor on its investment into CMR Surgical in Cambridge.
  • Acting on several IPOs and secondary offers, including Cambridge-based tech and support services company, GRC International Group Plc, on its IPO and admission to AIM.
  • Representing US-based software company erwin, Inc on various cross-border acquisitions.
  • Advising Akarna Therapeutics, a San Diego and Cambridge-based biotech company, on its sale to Allergan.
  • Advising Klareco Communications on its separation from Bell Pottinger out of administration.
