Michaela is a partner in the corporate team in London advising on a wide range of corporate transactions including mergers and acquisitions, joint ventures, partnerships, management buyouts, company re-organisations, fundraising, refinancing, acquisition finance, investment agreements, shareholders’ agreements, shareholder relations and corporate governance.

She acts for a variety of clients from entrepreneurs, start-ups and SMEs to high-net worth individuals, family owned and managed businesses, family offices and large multi-nationals. A significant part of her work has an international element and she regularly advises non-UK based clients, with a particular focus on Europe, US, Middle East and Asia.

Michaela joined Penningtons Manches Cooper in 2016 from another leading City firm. Previously in her career, she spent time advising on tax issues both for individuals and companies and obtained the STEP Advanced Certificate in UK Tax for International Clients. She is credited by intermediaries and clients for her sensible and pragmatic approach.

Recent work highlights

  • Advising on setting up and restructuring limited liability partnerships in the construction and agricultural sectors.
  • Negotiating a complex and contentious settlement between the partners of a limited liability partnership in the energy sector and a leaving partner.
  • Acting on the start-up of an online UK business in the IT sector, including setting up the trading vehicle, advising on the joint venture agreement, coordinating the commercial contracts and terms of business, dealing with intellectual property and value added tax registration and advising on establishing trading companies in the real estate sector.
  • Acting for buyers and sellers on various international acquisitions in the chemical, transport and industrial plant sectors with values ranging from $2 million to $50 million.
  • Advising on the acquisition of yachts and private jets with values ranging from £5 million to £15 million and on the corporate structures relating to the acquisition of tankers valued at £300 million.
