Kathy is a partner in the Oxford office and head of the corporate tax team. Her clients are made up predominantly of life sciences, technology and other early stage and high-growth companies, typically venture-capital backed. She advises on the tax consequences for these companies throughout their lifecycle.

She has a particular specialism in share incentives and the tax consequences of issuing shares to both employees and advisors. This includes structuring, implementing and drafting scheme documents under the tax approved EMI and CSOP schemes for employees and agreeing valuations with HM Revenue and Customs. Kathy assisted the Worked Example Group’s discussions with HMRC to agree a development company’ valuation example, which now appears in HMRC’s Shares and Assets Valuation Manual. She is also a member of life science network OBN’s investment and tax advisory group.

I particularly enjoy watching companies grow from small start-up operations to well-structured and exit-ready organisations. Tax law is highly complex; I strive to provide advice in a clear and practical way that clients can use to achieve their aims with a full understanding of any tax implications.

Another of Kathy’s work areas includes advising on share incentive arrangements where EMI or CSOP is unavailable for employees, non-executive directors or consultants. This takes the form of unapproved options, share issues including growth share schemes and other incentive alternatives such as phantom share schemes. She regularly deals with cross-border incentives, especially those involving the US.

The advice Kathy gives on tax efficient investments includes her particular focus on the EIS and SEIS schemes, checking eligibility for the schemes, reviewing documentation to ensure compliance, preparing advance assurance applications and applying to HMRC for both EIS and SEIS relief. For companies further into the growth cycle, she advises on the tax position for corporate acquisitions and disposals, reorganisations and restructurings, and corporate finance. Kathy supports shareholders in the tax position for a planned exit including advising on the availability of business asset disposal relief.

Cross-border share incentives

Acting for a technology company structuring an incentive plan for senior executives located across a number of jurisdictions that was a mixture between tax approved options, growth shares and a phantom share scheme.

Company exit

Acting for the shareholders of a technology company on its sale to a large US company, including co-ordinating option exercises and advising the sellers on the tax consequences of the different elements of the consideration structure.

Pre-sale tax structuring

Advising the shareholders of a life sciences company on the sale of the group, including a pre-sale demerger of part of the group’s trade.

EIS and restructuring

Advising a technology company on the structuring of a proposed investment into its subsidiary, particularly in relation to protecting the EIS status of the group for existing investors.

Company share option plan

Introducing a CSOP scheme for a life sciences company following an investment into the company that meant it no longer qualified to grant options under the tax-approved EMI scheme, which included granting options over growth shares.
