Penningtons Manches Cooper advises Clubspeed LLC on sale to Valsoft Corporation Inc., through wholly owned subsidiary Manos Software Group
Penningtons Manches Cooper has advised Clubspeed LLC, a global provider of venue management software, on its sale to Valsoft Corporation Inc., through its wholly owned subsidiary Manos Software Group. This was a US-led deal, with Penningtons Manches Cooper advising on the UK aspects of the transaction.
Founded in 2005 and headquartered in Irvine, California, Clubspeed provides integrated software platforms that support the management of high-traffic entertainment venues. Its solutions encompass point of sale, online bookings, customer relationship management, reporting and specialist race management functionality. The business serves more than 1,700 venues globally, including karting tracks, family entertainment centres, trampoline parks and a range of other attractions operators.
The deal represents a strategic step for Clubspeed, enabling it to leverage Valsoft and Manos Software Group’s long-term investment model and operational support to continue enhancing its product offering. As part of the group, Clubspeed is well positioned to accelerate development, including AI-enabled capabilities, while maintaining its focus on delivering mission-critical software solutions to operators in the karting, attractions and family entertainment sectors.
The Penningtons Manches Cooper team was led by corporate partner, Matthew Martin with support from corporate senior associate, Emily MacDonald. The wider team included tax partner, Stephen Goldstraw. The team also worked closely with US law firm Winstead PC, who acted as lead counsel on the deal.
