Penningtons Manches Cooper’s corporate team in Birmingham has recently advised on two deals in the social care sector.
Partners Emma Bryant and Adam McGiveron led on the sale of Midlands-based Care First and Respite Breaks to Outcomes First Group. Care First aims to support young people and adults who learn differently through person centred, practical and life skills training contracted through Local Authorities and the NHS. Sister company Respite Breaks provides specialist short stays for adults with learning disabilities, autism or behaviours that challenge. The deal provided an exit for both clients and enabled the business to be passed on to one of the UK’s largest providers of education services to vulnerable children, young people and adults.
Tax support was provided by partner Kathy Hills and associate Leonie Langley, while senior associate Charissa Upton advised in relation to employment law.
Emma Bryant and Adam McGiveron also advised on Sanghera Healthcare Holdings Ltd’s acquisition of New Lodge Nursing Home in Derby. Having acted for the owners of Sanghera Healthcare for many years, this deal represented the first stage in their growth into the nursing home sector. Banking partner John Chater provided additional advice in relation to the related banking facility for Sanghera Healthcare.

The deals are the latest transactions completed by Penningtons Manches Cooper’s multi-disciplinary health and care team which offers expertise to primary and secondary care providers, care homes and suppliers to the health marketplace.
