The corporate team at Penningtons Manches Cooper has acted for Torpedo Factory Group Limited, a leading audio, visual and stage technology provider to organisations in the UK and Europe, on its acquisition by AIM listed Aukett Swanke.

Torpedo Factory Group is a technology systems integrator and services business operating primarily in two market areas: ‘intelligent environments’, which relates to the design, installation, and maintenance of integrated audio-visual systems for corporate and public sector clients; and ‘stage technology’, which involves creating and maintaining technologically powerful systems for a range of performance spaces. Torpedo Factory Group operates in the UK and Europe, from five sites across the UK.

Aukett Swanke is a professional services company that provides architectural design services, and has expertise in master planning, interior design, executive architecture and engineering services. The company operates in three geographical areas: United Kingdom, the Middle East and continental Europe.

The acquisition will further expand and develop Aukett Swanke’s core architecture businesses, with a key focus on becoming a leading master systems designer, integrator and operator in the provision of smart buildings technology.

The corporate team advising Torpedo Factory Group was led by partner James Went with support from associate Sebastian Annable, capital markets partner Seb Orton, and corporate tax partner Stephen Goldstraw.

Nick Clark, chief executive officer and founder of Torpedo Factory Group, comments:

“This is an exciting opportunity for both companies. Technology is transforming the way buildings are designed, built, and run. As one of the world's leading architecture firms Aukett Swanke will be at the forefront of this change. Torpedo Factory Group brings expertise in technology system design and integration, and being part of the Aukett Swanke Group positions us well to capitalise on the growing demand for Smart Buildings. I’d like to thank James Went and the team at Penningtons Manches Cooper for their support on this strategic deal for Torpedo Factory Group.”
