Multiparty software licensing

Our technology lawyers advised a software supplier on the licensing of its instore marketing software to supermarkets, including Somerfield stores.

The contractual arrangements were complicated by the fact that our client was suppling a 'bundled' product, which included software belonging to a third party US company. We therefore needed to ensure the various licensing arrangements between our client, the US company and the supermarket were all consistent. We also negotiated the associated service and support arrangements.

The case illustrates the need to be aware that the licensing of intellectual property rights (such as rights in software) typically involves dealing with rights owned by a number of parties. It is important to ensure all agreements with all parties are consistent.
