Teja is a senior consultant in our corporate team and head of financial services regulatory. He specialises in UK, EU and international law in financial services regulation; investment, mergers and acquisitions; banking and capital markets; investment and shareholder disputes and international sanctions.

Much of Teja’s work has an international dimension. This includes guiding UK companies expanding overseas, or overseas companies investing into or entering the UK market. He has over 30 years’ experience helping businesses, including private groups, financial institutions and investments funds, to successfully acquire, sell and invest in businesses worldwide.

Much of my work involves guiding businesses through international transactions and regulatory frameworks. I aim to combine technical expertise with commercial insight, ensuring clients receive practical solutions that enable them to invest, expand and succeed in a global market.

Teja Picton-Howell, Consultant

As a member of Penningtons Manches Cooper’s India group, Teja has helped many Indian companies enter the UK through acquisitions or establishment. He also has substantial experience working on transactions throughout Europe and in the Gulf. He is instructed to give specialised legal opinions on English company law and practice, including as expert evidence for use in litigation before courts outside the UK.

Teja brings the benefit of his commercial acumen and experience to clients. He is a non-executive director of the fast-expanding Levi Roots/Reggae Reggae Group.

Market entry for non-EU financial institutions

Advising a range of non-EU banks and financial institutions on regulatory and strategic considerations for entering the UK market, ensuring compliance with local requirements and smooth operational setup.

Shareholder and investment disputes

Pursuing and defending complex shareholder and investment disputes, including unfair prejudice claims under section 994 of the Companies Act 2006, to protect client interests and achieve favourable outcomes.

Global credit facility transaction

Acting for a client on the negotiation and implementation of a revolving global credit facility exceeding $50 million, providing guidance on structuring, documentation, and cross-border compliance.

Successful investment fund exit

Advising an investment fund on its successful exit from a private UK and European pharmaceutical group valued at approximately €30 million, ensuring optimal returns and strategic alignment.
