Senior associate

Jonathan is a senior associate in the commercial dispute resolution team, specialising in restructuring and insolvency. He has experience in all aspects of contentious restructuring and insolvency and works on corporate and individual insolvency mandates, both for longer-term clients with ongoing restructuring needs, and distressed insolvency situations.

This includes dealing with antecedent transactions, breach of directors’ duties, transactions defrauding creditors, director disqualification proceedings, winding-up proceedings, fraud, twilight trading advice, as well as other insolvency related matters. He also has experience in complex contractual issues, Companies Act claims, shareholder disputes and high-value debt recovery work.

As a tactician, I harness my strengths in forensic and fraud work to resolve complex restructuring and insolvency problems. I represent a diverse range of clients, including insolvency practitioners, companies, individuals, and deceased estates.

Understanding the financial, time and wider pressures that clients face, Jonathan is a forthright negotiator who regularly obtains strong results for clients that exceed their expectations. Recognising that insolvency is highly stressful for many clients, he is equally client conscious and commercially focused when working on advisory matters and solvent liquidations.

Jonathan is a proficient tactician, able to build a case to meet clients’ needs. He has a particular interest in forensic and fraud work arising from the insolvency context. Jonathan works alongside the wider team in acting for a range of clients, including insolvency practitioners, companies, individuals and deceased estates. His experience includes building specialisms in a wide range of sectors, especially matters involving overseas entities, as part of complex group structures. These span life sciences/biotech; energy; education and charities; pharmaceuticals; real estate; not-for-profit; sports; and retail. In the past 12 months, Jonathan has developed a niche specialism in advising life sciences start-up companies and supporting education facilities in the current challenging economy.

Representing the board of a higher education university to provide urgent tailored advice in relation to potential insolvency.

Working with a leading specialist education insolvency practitioner and the Independent Schools Association to advise an independent primary school on school fee deposits and how they relate to creditors’ principles.

Independent school’s business model

Supporting a leading independent school with commercial advice on the viability of its business model, including an analysis of its various accounting practices to assess where additional value could be identified.

Educational technology dispute

Advising a leading educational technology provider on a longstanding dispute with one of the former directors and shareholders.

Technology company insolvency

Advising the board of a leading technology company in relation to its future funding, solvency, ability to trade and liability management on an insolvency event.

Biotech’s future

Advising the board of a bio-tech pre-revenue company on its solvency, ability to continue to trade and key decisions as to funding and licensing which would impact the structure and future of the business.

Care home group restructuring

Advising the parent company of a group of care homes. We formulated a plan with the client as to how best restructure the company and avoid an insolvency process via a Company Voluntary Arrangement.

UAE insolvency

Leading on a complex defence of a debt that arose in the UAE, which the claimant was attempting to enforce using the insolvency courts of England and Wales. The case was settled at a little over 10% of the original claim value.

Funds recovery

Working as part of a team to use insolvency law to enable a client (acting on behalf of an estate) to recover funds against a rogue director/shareholder.

Property litigation insolvency

Advising on the insolvency aspect of a drawn-out dispute between a client and another party, whereby the previous property litigation had stalled due to appeals.

Sports agency dispute

Successfully acting for a sports agency in a shareholder dispute, which developed into an urgent High Court application.
