Associate

Clemency is an associate in the intellectual property, IT and commercial team in Oxford, working on a broad range of transactional and advisory matters. She has a particular focus on life sciences and tech transfer, and works with clients ranging from new spin-outs and start-ups to established biotech and contract research organisations.

She is especially interested in what happens when emerging technologies meet emerging principles of contract law and in how we can future-proof legal arrangements in a constantly-evolving sector. One of her specific areas of work is the orphan drugs regime and the evolution of the pharmaceuticals regime in the UK.. Clemency’s practice has a strong negotiation focus. She aims to obtain the best outcome for clients by understanding their commercial needs and priorities, coming up with creative solutions, and applying the tenacity and persistence needed to reach an agreement.

I love problem-solving through good drafting, and always aim to express complex legal and logistical ideas in clear language. I believe legal documents should be as practical, accessible and user-friendly as they can be, while reflecting the nuance and flexibility our clients require.

In addition to her life sciences work, Clemency handles intellectual property and commercial matters across all industries, most regularly in the higher education, charity, publishing, manufacturing and technology sectors. She is particularly interested in the impact of AI and other emerging technologies on creators’ rights in the creative industries. One of her other areas is trademark matters alongside the wider brand protection team.

Clemency qualified as a solicitor in 2023 after completing her training contract with Penningtons Manches Cooper. She studied English at St John’s College, Cambridge and before beginning her legal career worked in media relations in the higher education sector.

Master services agreements

Negotiating and extensively amending contractual documentation around a critical piece of work where there were major areas of difference to be resolved between the parties, achieving a good result for the client.

Regulatory framework advice

Preparing detailed advice notes that summarised the main considerations for a funding body preparing to fund trials in the UK, including risks and areas of difficulty and our proposed strategy for mitigation.

Charity funding arrangements

Advising on a long-term research grant worth over £4 million, including reviewing the contractual documents and facilitating negotiations with the funding recipient.

Commercial issues in manufacturing

Advising a long-term client on a full range of commercial issues, including purchasing new machines for the factory, developing international distributor agreements, and advising on intellectual property and confidentiality issues.

Bespoke manufacturing contract

Drafting a bespoke agreement between a developer of a novel food product and a manufacturer, to cover a unique production process and the development of a new facility.
