Charlotte heads the housing portfolio team. She specialises in the due diligence of portfolios of residential, commercial and specialist accommodation in connection with acquisitions, disposals, swaps, loan security and a range of mergers and other corporate transactions.

Most of her work involves acting for registered providers, local authorities, and investors in the affordable housing market. As a real estate lawyer with more than 20 years’ experience in the affordable housing sector, Charlotte focusses on providing commercial advice that mitigates risks throughout the lifecycle of property assets and ensures valuations are maximised.

I have been proud to support a range of clients in the affordable housing sector on some of the largest debt funding, investment and portfolio transactions seen in recent years. I provide commercial advice that both achieves my client’s short-term aims and considers future business activities, including onward sale, loan security or regulatory compliance.

Charlotte’s funding expertise spans new charging and securitisation for bonds, private placements, and bank facilities, as well as refinancing and related treasury matters. In addition, she has led numerous stock rationalisation and restructuring projects, portfolio acquisitions, and disposals, and routinely supports the corporate services team on merger due diligence.

She also deals with grant funding agreements with the Homes and Communities Agency, Greater London Authority, and local authorities, forward funding deals, bulk investor sales including to non-UK entities and structured property finance. On the commercial property side, Charlotte advises on a diverse range of landlord and tenant matters, acting for both landlords and tenants. Charlotte is a member of the Chartered Institute of Housing and Women in Social Housing.

Advising a leading investor on the acquisition, by way of lease and lease-back, of a substantial affordable housing portfolio.

Stock rationalisation

Acting for a large registered provider on both the acquisition and disposal of more than 2,000 properties as part of an ongoing asset management strategy.

Intra-group transfer

Advising a G15 association on intra-group transfers following a merger and group re-organization.

EMTN programme

Acting as lead property counsel to a G15 association in connection with its £250 million sustainability bond and euro medium-term note programme.

Commercial review

Leading a team assisting with a group-wide review of a commercial property portfolio to maximise value through rent reviews, renewals, enforcement of tenant breaches and new lettings.
