Ross McNaughton, Partner at Penningtons Manches


Ross is a partner in the corporate team, based in the San Francisco office. He has extensive experience of a variety of public and private capital raisings, mergers and acquisitions and general corporate advice, having acted on a full range of transactions - from multi-billion acquisitions to strategic bolt-ons or disposals and main market listings to smaller capital raises. His expertise spans the technology, life sciences, financial and professional services sectors.  He has strong links with the UK tech and life sciences communities, particularly in the 'Golden Triangle' of London-Oxford-Cambridge.

As a highly regarded corporate finance practitioner, Ross has been recognised by The Legal 500 which has praised ‘his very good knowledge of how to head off potential issues’. He has undertaken two secondments at investment banks in London, including to the ECM execution desk at a prominent investment bank where he provided execution support to its team on several high profile IPOs and rights issues. His ECM experience includes companies that reflect the firm’s core strengths in spin-outs, tech and life sciences, as well as US companies looking to raise capital through AIM.

Ross joined Penningtons Manches Cooper in 2015 from the City office of a leading international firm. He previously worked in the London and Singapore offices of a top 10 UK law firm. Before moving to San Francisco, he was based in our Cambridge office and remains very involved in the work done in the region.

Ross is an English qualified solicitor and a registered foreign legal consultant in California.

  • Representing US-based software company erwin, Inc on various cross-border acquisitions.
  • Advising Akarna Therapeutics, a San Diego and Cambridge-based biotech company, on its sale to Allergan.
  • Advising Klareco Communications on its separation from Bell Pottinger out of administration.
  • Acting on several IPOs and secondary offers, including advising a London-based investment bank on a placing by LiDCO, an AIM-quoted medtech business.
