Liz Gillingham, Senior Associate at Penningtons Manches


Liz is a senior associate in the corporate team. She joined Penningtons Manches Cooper in 2010, having qualified at a Magic Circle firm in London in March 2009. She specialises in corporate and corporate finance law, with a particular emphasis on company and business sales and acquisitions, private company loans and security arrangements, employee incentive schemes (such as EMI), demergers and reorganisations, MBOs, joint ventures, shareholders’ agreements and articles of association.

Liz works with a broad range of businesses and organisations from entrepreneurs and owner-managed businesses to international plcs, charities and universities. She has experience advising a wide variety of private companies in sectors such as IT and software, facilities management, telecoms and care homes. She particularly specialises in advising owner managers on the sale of their businesses.  Liz is a member of Penningtons Manches Cooper’s technology, restructuring and insolvency and education sector groups.

Recent work highlights

  • Acting for the owners of eCourier, a leading same day delivery courier service, on its sale to Royal Mail Group plc.
  • Advising a group of companies operating a number of care homes on a reorganisation of its assets, revisions to its banking facilities and the sale of several of its subsidiary companies to different buyers.
  • Representing an international telecoms group on the disposal of part of its telecoms business.
  • Acting on several demerger schemes, including capital reduction demergers and s110 demergers.
  • Advising BRITA GmbH on the acquisition of a majority stake in Vivreau Limited in the UK and related entities in the US and Canada.
