Our outsourcing group gives you access to an experienced team of lawyers with all the specialist knowledge necessary for the successful implementation and operation of outsourcing transactions. We have in-depth experience in structuring, documenting, negotiating and managing complex and large-scale outsourcing arrangements.

Outsourcing projects typically carry significant legal risk. We regularly advise on the outsourcing of IT and telecommunication services and of a wide variety of other essential business processes, together with supply-chain initiatives and strategic partnerships. From the start, we identify key risks and benefits, and can secure appropriate conditions in project agreements.

We offer expert legal support throughout the entire outsourcing lifecycle, including initial due diligence and provider selection, negotiating the contract and operational transition and change. We involve employment law and other specialists on TUPE issues, contract renegotiation and exit strategies where required.

We pride ourselves on taking the initiative, assisting clients on many different levels in order to support and complement their own in-house project teams. Our principal aim is to help organisations put in place practical, durable and effective business relationships that reflect a reasonable balance of responsibility, risk and reward.

With experience of advising both public and private sector clients across many industries, we regularly act for outsourced service providers, as well as customers, in the UK and offshore, enabling us to offer a strategic perspective from both sides of the fence.

We offer expert advice on:

  • tender preparation and bidder support
  • developing statements of work, technical specifications, process mapping, system acceptance testing and delivery documents
  • contract and project management structures, pricing regimes and technology refresh solutions
  • drafting service level arrangements, KPI mechanics, service credit regimes and solutions-based remedies
  • developing business contingency planning regimes, including data security, hosting and disaster recovery
  • benchmarking and audit rights
  • exit management strategies and disengagement
  • dispute resolution and litigation in the context of outsourcing projects
