Rail industry specialist Total Rail Solutions completes management buyout

 
 

Penningtons Manches advised Paul Bateman and Luke Hersee on the management buyout of Total Rail Solutions, backed by private equity firm Rutland Partners LLP.

Total Rail Solutions was established in 2007 and has become a leading on-track plant hire and plant operations scheme provider to the rail industry. The company works closely with Network Rail and its principal contractors to support the construction, maintenance and repair of railways and has invested significantly in new equipment in recent years.

The corporate team at Penningtons Manches worked closely with Indian law firm, AZB & Partners to advise the Indian multinational IT service and consulting business Tata Consultancy Services on the acquisition of W12 Studios, an award-winning digital design studio based in London.

Global chemical manufacturing and distribution group completes acquisition of parts of the Whyte Chemicals group

 
 

The corporate team at Penningtons Manches advised the OQEMA group on the acquisition of parts of the Whyte Chemicals group.

In June 2018, selected assets of Whyte Chemicals Ltd in the UK were acquired by OQEMA Ltd, the UK division of OQEMA group. Following this in September, the OQEMA group acquired the French arm of the Whyte Chemicals group, Whyte Chemicals SARL, via its joint venture company, Quaron SAS.

Penningtons Manches acted for the leading social enterprise FutureGov, which provides transformative change to public services organisations through cutting edge design and technology, on its first acquisition.

FutureGov, whose investors include the NESTA social impact fund, acquired Uscreates, a London based strategic design consultancy.

Data storage solutions company StorCentric acquires Drobo and Nexsan

 
 

The corporate team at Penningtons Manches advised storage solutions company, StorCentric Inc., and its subsidiary, Drobo, on the English law aspects of its acquisition of Nexsan, a global leader in enterprise storage solutions.

Penningtons Manches fielded a cross-border team to work on the transatlantic elements of this acquisition. The team, comprising attorneys from both the UK and our San Francisco office, provided round the clock support allowing the transaction’s tight deadlines to be met.

Leading northern European electronics manufacturer acquires Speedboard Assembly Services

 
 

Penningtons Manches’ corporate team has advised the shareholders of Speedboard Assembly Services Limited on its sale to NOTE, a leading northern European electronics manufacturing and logistics company which is listed on Nasdaq Stockholm.

Operating from Windsor with 100 employees, Speedboard has developed a cost-effective production system and has particular expertise in box build assembly. Its customers are found primarily in the communication, security and medical technology sectors.
